Welcome to TBK Media. These Terms and Conditions ("Terms") govern your use of the TBK Media website located at tbkmedia.co (the "Website") and the TBK Media mobile application (the "App"), collectively referred to as the "Platform." By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Description of Services

TBK Media is a social media marketing agency specializing in Facebook advertising, lead generation, and digital marketing services for businesses, with a primary focus on the landscaping industry. Our services include but are not limited to campaign strategy, ad creation, ad management, lead generation, and performance reporting.

2. Acceptance of Terms

By accessing the Website, downloading the App, creating an account, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Platform, including clients, visitors, and app users.

3. Use of the Mobile Application

The TBK Media App is provided to enhance your experience with our services. When using the App, you agree to:

• Use the App only for its intended purpose

• Not attempt to reverse engineer, modify, or tamper with the App

• Not use the App for any unlawful or unauthorized purpose

• Keep your login credentials secure and confidential

• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your access to the App at any time for violation of these Terms.

4. User Accounts and Registration

To access certain features of the Platform, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information

• Maintain and update your information as needed

• Keep your password confidential and not share it with third parties

• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account and use our services.

5. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, images, ad creatives, marketing materials, software, and branding — is the property of TBK Media or its licensors and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Platform without prior written consent from TBK Media.

Ad creatives, campaign strategies, and marketing materials developed by TBK Media for client campaigns remain the intellectual property of TBK Media unless otherwise agreed in writing.

6. Payment Terms

Services provided by TBK Media are billed according to the package and pricing agreed upon at the time of engagement. By engaging our services, you agree to the following:

• All fees are due as outlined in your service agreement

• Payments are non-refundable unless otherwise stated in your agreement

• TBK Media reserves the right to suspend services for overdue payments

• Advertising spend budgets are separate from service fees and are paid directly to the advertising platform (e.g., Meta/Facebook) unless otherwise specified in your package

• Any applicable taxes are the responsibility of the client

7. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy. You can review our Privacy Policy at tbkmedia.co/privacy-policy.

8. Limitation of Liability

To the fullest extent permitted by law, TBK Media and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or our services.

This includes, without limitation, damages for loss of profits, revenue, data, business opportunities, or goodwill, whether based on warranty, contract, tort, or any other legal theory, even if TBK Media has been advised of the possibility of such damages.

TBK Media's total liability to you for any claim arising out of these Terms or the use of the Platform shall not exceed the total amount you have paid to TBK Media in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Platform and all services provided by TBK Media are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied.

TBK Media does not guarantee specific advertising results, return on investment (ROI), lead volume, conversion rates, or any particular business outcome from the use of our services. Marketing results depend on numerous factors beyond our control, including but not limited to market conditions, competition, seasonality, and the quality of the client's products or services.

While we strive to deliver effective campaigns, past performance does not guarantee future results.

10. Termination

Either party may terminate the service relationship in accordance with the terms outlined in the applicable service agreement.

TBK Media reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, TBK Media, or third parties.

Upon termination, all rights granted to you under these Terms will cease immediately. The following sections shall survive termination: Intellectual Property, Limitation of Liability, Disclaimer of Warranties, and Governing Law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Illinois.

12. Changes to These Terms

TBK Media reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
